Customer Service Agreement

Equipment Lease

Compass Broadband (CBN) will supply and lease to Subscriber, during the term of this agreement, the equipment necessary for connection to CBN internet service. The equipment shall at all times remain the property of the CBN and upon termination of service shall be returned to CBN in the same condition as existed upon execution of this agreement, reasonable wear and tear excepted. Subscriber shall bear all risk of loss, theft, fire, windstorm, lightning, or other hazard. Subscriber shall bear a minimum cost of $50 for a service charge up to the entire cost of a reinstall should the equipment need to be replaced for reasons other than normal wear and tear.By signing this agreement, Subscriber acknowledges that they are the legal property owner or that they have obtained permission to install the equipment of CBN upon the property from the legal owner prior to installation. CBN will not be held liable if Subscriber authorizes the installation without prior approval of the structure owner, and Subscriber shall indemnify and hold harmless CBN for any loss it may sustain as a result of the failure of Subscriber to obtain the permission necessary for the installation of the leased equipment.

Payment
Payment of the service fee is due in advance on the first day of the month. Payments not received prior to the 3rd of each month are considered delinquent and will be subject to a $10 late fee. After the 10th of month, the account is subject to termination without additional notice, the service shall be disconnected and the leased equipment may be removed by CBN. In the event the Subscriber wishes to reinstate the account by payment of all past due charges, the account may be subject to an additional $25 reconnect fee, payable prior to the reinstatement of services. The Subscriber shall receive no credit for any days during a billing cycle when service is interrupted due to non-payment of fees. Returned checks are subject to a returned check fee of $35.00, as well as suspension of the account until payment is received. In the event the Subscriber submits a personal check, which is returned unpaid by Subscriber’s bank, Subscriber must pay all future payments with credit card, cash, money order or cashier’s check. Subscriber must supply a current mailing address, phone number and email address. Failure to receive a bill due to postal mistakes, missed emails, or any other reason does not excuse Subscriber from payment obligations.

Relocation
If a customer moves into a new location within the coverage area, and desires to relocate the service, there will be a $25 relocation fee, payable during the next billing cycle [or, payable prior to the relocation of the service] It is requested that the customer notifies CBN as soon as the date of the move is confirmed.

Nature of the Service
By signing this Agreement, Subscriber acknowledges that the internet service supplied by CBN is not wireless upon entry to their home. It is the Subscriber’s responsibility to supply a wireless router should the Subscriber want one. CBN does not install, perform maintenance, change passwords, or provide phone support for customer provided routers.
CBN is a best-effort internet service provider. As such, all speeds denoted in the contract are “up to” speeds and up-time cannot be guaranteed. Credit for downtime is at the sole discretion of CBN and will be issued on a case-by-case basis.

Intended Use and Monitoring of the Services
Subscriber agrees not to use the Services in a manner prohibited by any federal, state or local law or regulation. While CBN is under no obligation to monitor the Services, CBN may do so from time to time and CBN may disclose information regarding Subscriber’s use of the Services for any reason and in its sole discretion in order to satisfy applicable laws, regulations, governmental requests, or in order to operate and deliver the Services in an effective manner. CBN may immediately remove from its servers any materials or information in whole or in part, which CBN, in its sole and absolute discretion, determine to infringe any proprietary rights.

Customer may not resell or redistribute the service without the prior written consent of CBN. Customers found to be reselling the service without consent are subject to termination.

Service may be disconnected if the Customer is found to be hosting any services deemed to be illegal.

Indemnification
Subscriber shall indemnify, defend, and hold CBN harmless against any and all claims, losses, damages and liabilities and expenses, including reasonable attorney fees, sustained by CBN resulting from, arising out of, or connected with the use or misuse of the Services by the Subscriber.

The contract is a standing agreement and the Subscriber may cancel without penalty as long as they do not owe an outstanding balance. If a Subscriber wishes to reinstate the service after it has been cancelled, a $25 service charge may apply.

CBN reserves the right to amend the terms and conditions of this contract without notice. Notice will be provided through physical mailing address as well as email when feasible.
